EIGENSONNE GmbH: Restructuring by transfer (asset deal)

In December 2023, the Amtsgericht [local court of] Berlin-Charlottenburg ordered a preliminary insolvency administration arrangement against the assets of EIGENSONNE GmbH. To act as the preliminary insolvency administrator, the court appointed BBL partner, Dr Florian Linkert, who, together with his colleague, Olaf Hammer, immediately went about capturing a comprehensive picture of the current situation of the company. Business operations were continued without interruption, current job orders executed, and new orders acquired. At the same time, the management and preliminary insolvency administrator sought out discussions with suppliers and customers.

With the successful completion of the investor process initiated at the outset of 2024, in April the entire enterprise was acquired by an investor, AMIA Energy GmbH, by way of a restructuring by transfer procedure. AMIA Energy was established by the solar energy entrepreneur, Hans-Martin Rüter, to offer solar energy systems, including storage and wall-box equipment, to both private and commercial customers throughout Germany via a regional, well-trained sales force.

Based in Berlin, EIGENSONNE manufactures photovoltaic systems, which are available for sale or hire. The insolvency petition was prompted by the persistent consequences of the COVID-19 pandemic, geopolitical crises, inflation, and repeated changes to subsidy regulations. All these circumstances resulted in highly adverse market conditions, which made the acquisition of new investors more difficult than usual.
