ComX Group: Swift completion of Group restructuring procedure

In April 2024, the competent local court, the Amtsgericht Berlin-Charlottenburg, ordered that preliminary insolvency proceedings be commenced against the assets belonging to ComX Group’s associated companies. Head-quartered in Berlin, the company is a B2B sales enablement platform. ComX offers consulting services and software for optimising the go-to-market processes of B2B companies. The Group’s operating company is Commercial Excellence GmbH, which simultaneously functions as the parent company of the other German- and South African-based companies: Global Sales Group UG, Global Sales Technologies UG, and ComX SA pty LTD.

The preliminary insolvency administrator, Dr Florian Linkert, teamed up with his colleague, Dr Lena Verdenhalven, to oversee the continued operation of the company during the preliminary insolvency proceedings, and they succeeded in stabilising the business. Immediately after the preliminary insolvency proceedings were ordered, it was agreed with ComX’s board of management that an M&A consulting firm be appointed to carry out a structured investor process, which was successfully completed within just three months. In July 2024, the buyer, the Wiesbaden-based DIMARCON Group, acquired the digital services provider, ComX, as part of a restructuring by transfer arrangement (asset deal), and it included ComX’s entire workforce.
